Terms of Use

These Terms govern your access to and use of MetricVault AI. Please read them carefully. By using the platform, you agree to be bound by everything described here.

These Terms of Use ('Terms') are a legally binding agreement between you ('you,' 'your,' or 'User') and MetricVault AI ('we,' 'us,' 'our,' or 'MetricVault'), a company operated from Hollywood, Florida, USA. They govern your use of our website at metricvaultai.com, our SaaS dashboard, our Chrome extension, our free tools, our API, and any other products or services we offer (collectively, the 'Platform').

By creating an account, starting a free trial, accessing any feature of the Platform, or simply browsing our website, you confirm that you have read these Terms and agree to be bound by them. If you are using the Platform on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, please discontinue use of the Platform immediately.

To use the Platform, you must:

• Be at least 16 years of age (or the applicable age of digital consent in your country, if higher)
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using our services under the laws of your jurisdiction.
• Provide accurate and complete information when creating your account.

We reserve the right to refuse service, close accounts, or remove content at our discretion, without liability, if we believe you have violated these Terms or if your continued use poses a risk to the Platform or other users.

3.1 Account Creation

When you sign up for MetricVault AI, you will create an account with a username and password. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account, whether or not you authorized it.

3.2 Account Accuracy

You agree to keep your account information, including your email address and billing details, accurate and up to date. Providing false information, impersonating another person, or creating accounts in bulk for the purpose of circumventing usage limits is a violation of these Terms.

3.3 Team Seats and Multi-User Plans

Certain plans (Pro, Agency, Enterprise) allow multiple team members to share an account workspace. Each seat is intended for one individual user. Sharing a single set of credentials across multiple people who are not teammates is not permitted and may result in account suspension.

4.1 Plans and Pricing

MetricVault AI offers a Free tier and several paid plans (Starter, Pro, Agency, Enterprise). All paid plans are billed monthly or annually depending on the option you select at checkout. Current pricing is always available at metricvaultai.com/#pricing.

4.2 Free Trial

Paid plans include a 14-day free trial. No credit card is required to start a trial. If you do not cancel before the trial ends and you have provided payment information, you will be billed at the standard rate for your chosen plan.

4.3 Auto-Renewal

Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. You can manage or cancel your subscription at any time from your account dashboard or by contacting hello@metricvaultai.com.

4.4 Refunds

All payments are final and non-refundable, except where required by applicable law. If you believe a charge was made in error, contact us within 14 days of the charge and we will investigate in good faith.

4.5 Price Changes

We may adjust pricing at any time. If we increase the price of your active subscription, we will give you at least 30 days' notice by email. Your continued use of the Platform after the new pricing takes effect constitutes acceptance of the new rates.

You agree to use MetricVault AI only for lawful purposes and in a manner consistent with these Terms. The following are prohibited:

5.1 Platform Integrity

• Attempting to reverse-engineer, decompile, disassemble, or extract the source code of the Platform.
• Using automated scripts, bots, scrapers, or crawlers to extract data from the Platform beyond what is permitted through our API.
• Circumventing rate limits, usage quotas, or access controls, including by creating multiple free accounts.
• Probing, scanning, or evaluating the vulnerability of our systems without prior written permission.
• Introducing malware, viruses, or any malicious code into the Platform

5.2 Prohibited Content and Conduct

• Using the Platform to target, harass, defame, or harm any individual or group.
• Submitting false, misleading, or fraudulent information or analyses
• Impersonating MetricVault AI, our team, or any other person or entity
• Using the Platform in connection with spam, phishing, or any deceptive commercial practices
• Violating any applicable local, national, or international law or regulation

5.3 Competitive Intelligence Boundaries

Our Competitive Intelligence tools are designed for lawful market research. You may not use the Platform to collect information for purposes that violate anti-competition laws, breach confidentiality agreements, or facilitate corporate espionage.

Certain features of the Platform consume 'credits'. Credits and monthly report quotas are tied to your subscription plan and reset at the start of each billing cycle. Unused credits do not roll over to the following period.

We reserve the right to adjust credit costs for individual features as the Platform evolves. Material changes to credit pricing will be communicated in advance via email or in-app notification.

If you exceed your monthly quota, access to premium reports will be paused until your next billing cycle, or you may choose to upgrade your plan.

7.1 Our Property

MetricVault AI, including the Platform, all software, design elements, logos, brand assets, report templates, workflows, and content we produce, is and remains the exclusive property of MetricVault AI and its licensors. These Terms do not transfer any ownership interest to you.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the Platform without our prior written consent.

7.2 Your Content and Data

Any domains, URLs, keywords, or data you submit to the Platform remain yours. By submitting data, you grant us a limited, non-exclusive, royalty-free license to process that data for the sole purpose of delivering the service to you. We do not use your submitted domains or analyses to train AI models or share competitive intelligence with other users.

7.3 Reports and Exports

Reports and exports generated by the Platform (PDFs, CSVs, branded outputs) are licensed to you for your own internal business use. You may share them with clients as part of your normal work. You may not resell, sublicense, or redistribute Platform-generated reports as a standalone product.

MetricVault AI integrates data from third-party providers including DataForSEO, which supplies SEO metrics, backlink data, SERP results, and keyword data. While we collaborate with reputable providers and strive for accuracy, we cannot guarantee the completeness, accuracy, or timeliness of third-party data.

The Platform may also contain links to third-party websites. Those sites operate under their own terms and privacy policies. We are not responsible for the content, practices, or reliability of any third-party service.

Enterprise plan users may generate API keys to integrate MetricVault AI data into their own systems. By using the API, you agree to:

• Use the API only for the purposes permitted under these Terms.
• Keep your API keys confidential and rotate them immediately if compromised.
• Not exceed the rate limits associated with your plan.
• Not use the API to build a competing product or service.
• Comply with all applicable laws governing the data you collect or process through the API.

We reserve the right to suspend or revoke API access if we detect abuse, excessive usage, or violation of these Terms.

Our Chrome extension is governed by these Terms. By installing and using the extension, you agree that:

• The extension accesses the active tab URL only when you explicitly initiate an analysis.
• You will not attempt to modify, redistribute, or reverse-engineer the extension.
• Uninstalling the extension does not close your MetricVault AI account or affect your subscription.

The Platform is provided 'as is' and 'as available' without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, MetricVault AI disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Platform will be uninterrupted, error-free, or free from harmful components.
• Warranties regarding the accuracy, completeness, or timeliness of data surfaced through the Platform.

SEO and AI search visibility data is inherently dynamic. Rankings, citations, sentiment scores, and competitive metrics can change rapidly and independently of anything we do. We do not guarantee any specific business outcome from using MetricVault AI.

To the maximum extent permitted by law, MetricVault AI and its officers, directors, employees, partners, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of: (a) the total amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless MetricVault AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content or data you submit to the Platform.

You may close your account and stop using the Platform at any time. Closing your account does not entitle you to a refund of any prepaid subscription fees.

We may suspend or terminate your access to the Platform immediately and without notice if:

• You violate these Terms.
• We are required to do so by law.
• We reasonably believe your account poses a security risk to us or other users.

Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and dispute resolution, will survive the termination of these Terms.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Broward County, Florida. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent authority to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality obligations.

We may update these Terms from time to time as the Platform evolves. When we make material changes, we will update the 'Last Updated' date at the top of this document and, where appropriate, notify you by email. Your continued use of the Platform after changes take effect constitutes your acceptance of the new Terms.

If you disagree with any updated Terms, you may close your account and stop using the Platform.
